1. Agreement to Terms

By accessing or using the services provided by Intergalactic Data Centers, Inc. ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our services.

These Terms apply to all visitors, users, and others who access or use our services, including but not limited to colocation services, managed services, network services, and any related infrastructure solutions.

2. Description of Services

Intergalactic Data Centers provides data center infrastructure services including:

  • Colocation and hosting services
  • High-density computing environments
  • Managed infrastructure services
  • Network connectivity and cross-connect services
  • Disaster recovery solutions
  • Custom infrastructure solutions

Specific service terms, including service level agreements (SLAs), pricing, and technical specifications, are detailed in individual service agreements executed between the Company and each customer.

3. Customer Responsibilities

As a customer of our services, you agree to:

  • Provide accurate and complete information when establishing an account
  • Maintain the security of your account credentials and access methods
  • Comply with all applicable laws and regulations in your use of our services
  • Refrain from using our services for any unlawful or prohibited purpose
  • Ensure that your equipment and software are compatible with our infrastructure
  • Promptly notify us of any security incidents or unauthorized access
  • Pay all fees and charges associated with your use of our services

4. Acceptable Use Policy

You may not use our services to:

  • Violate any applicable laws, regulations, or third-party rights
  • Distribute malware, viruses, or other harmful software
  • Engage in unauthorized access to systems or networks
  • Send unsolicited bulk communications (spam)
  • Host or distribute illegal content
  • Interfere with or disrupt our services or infrastructure
  • Engage in activities that could harm our reputation or other customers

Violation of this Acceptable Use Policy may result in suspension or termination of your services without prior notice.

5. Service Level Agreements

Our commitment to service availability and performance is outlined in our Service Level Agreements (SLAs). Key provisions include:

  • Uptime Guarantee: We guarantee 99.99% availability for core infrastructure services, subject to the terms of your specific service agreement.
  • Power Availability: Redundant power systems are designed to provide continuous power delivery.
  • Network Connectivity: Multiple carrier connections ensure network resilience and availability.
  • Support Response: 24/7 support with defined response times based on issue severity.

SLA credits are available for qualifying service interruptions as detailed in your service agreement.

6. Payment Terms

Payment terms are established in individual service agreements. General terms include:

  • Fees are billed monthly in advance unless otherwise specified
  • Payment is due within thirty (30) days of invoice date
  • Late payments may incur interest at 1.5% per month
  • We reserve the right to suspend services for non-payment
  • All fees are non-refundable unless otherwise stated

7. Intellectual Property

All intellectual property rights in our services, including software, documentation, processes, and branding, remain the exclusive property of Intergalactic Data Centers. You retain all rights to your data, applications, and content hosted on our infrastructure.

You grant us a limited license to access and use your equipment and data solely as necessary to provide the contracted services.

8. Confidentiality

Both parties agree to maintain the confidentiality of proprietary and sensitive information disclosed during the business relationship. This includes:

  • Technical specifications and configurations
  • Pricing and contractual terms
  • Business plans and strategies
  • Customer data and personal information

Confidentiality obligations survive termination of services for a period of three (3) years.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INTERGALACTIC DATA CENTERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF OUR SERVICES.

Our total liability for any claims arising from or related to our services shall not exceed the fees paid by you in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Intergalactic Data Centers, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

  • Your use of our services
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Content or data you host on our infrastructure

11. Term and Termination

Service terms are specified in individual agreements. Either party may terminate services:

  • Upon expiration of the service term with proper notice
  • For material breach not cured within thirty (30) days of written notice
  • Immediately for violations of the Acceptable Use Policy
  • Immediately for non-payment exceeding sixty (60) days

Upon termination, you must remove your equipment within thirty (30) days and pay all outstanding fees. We will provide reasonable assistance in transitioning your services.

12. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including natural disasters, acts of war, terrorism, government actions, labor disputes, or utility failures.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles.

Any disputes arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If resolution cannot be reached, disputes shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated to customers with at least thirty (30) days' notice. Continued use of our services after changes become effective constitutes acceptance of the revised Terms.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

16. Entire Agreement

These Terms, together with any service agreements and policies referenced herein, constitute the entire agreement between you and Intergalactic Data Centers regarding the use of our services.
